Welcome to our Portal vLearnLive (“VLL”) owned and operated by vCrop Technologies Private Limited ("Company"), having its registered office at 40/9, G/F Lower, Chitranjan Park, New Delhi-110019.

This document is an electronic record in terms of Information Technology Act, 2000 and rules there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy and user agreement for access or usage of www. vlearnlive.com.

By use of the Portal, subscribing to or using any of VLL services, User/s agree that they have read, understood and are bound by the Terms and conditions as contained in the Terms of Use, Privacy Policy, Policy for Educator (in case of Educator), Policy for Learner (in case of Learner) or any other policy or rules incorporated by VLL for the use of its services regardless of how User/s subscribe to or use the services. If User/s do not want to be bound by the Terms, they must not subscribe to or use VLL services.

Your use of VLL and its related sites, services and tools is governed by the terms and conditions incorporated hereinafter as applicable to the Portal. This Terms of Use/user agreement contains rules and regulations, Privacy Policy, Policy for Educator (in case of Educator), Policy for Learner (in case of Learner), other related policies, terms & conditions and agreement applicable to any person who may access to or use this Portal including any sub-domains, webpages or extension of VLL and you hereby agree and acknowledge to be bound by the terms of this user agreement.

    1. “Company” shall mean vCrop Technologies Private Limited and its associates and partners;
    2. “Portal” shall mean www.vLearnLive.com
    3. “Educator” shall mean any person who has registered himself with VLL and agreed to be bound by terms and conditions for imparting knowledge to Learners;
    4. “Learner” shall mean any person who has registered himself with VLL and agreed to be bound by terms and conditions to get knowledge from any Educator;
    5. “Parent” shall mean the Parent/Legal Guardian of the Learner or Educator as the case may be;
    6. In these Terms, references to "You", "User" shall mean the end user accessing the Portal, its contents and can be used for the Educator and Learner separately as well as collectively.
    7. "We", "Us" and "Our" shall mean VLL/Company, its franchisee, affiliates and partners.
    1. www.vLearnLive.com (VLL) is Internet based portal owned by the Company, facilitating Educators and Learners to connect with each other and enabling the Educators to impart knowledge to Learners, through live interactive learning sessions.
    2. Use of the Portal is offered to the user conditioned on acceptance without modification of all the Terms of Use, conditions and notices contained in these Terms, as may be posted on the Portal from time to time.
    3. The Company at its sole discretion reserves the right not to accept a User from registering on the Portal, without assigning any reason thereof.
    4. Use of the Portal is available only to persons who can form legally binding contracts under Indian Contract Act, 1872.
    1. The registration of any person on the VLL is subject to his capacity to enter into a legally binding contract under the Indian Contract Act, 1872 with VLL.
    2. Individual/s who is/are not eligible to enter into legally binding contract under the Indian Contract Act, 1872 or is under the age of 18, must at all times register through his/her Parent or legal guardian, who is at least 18 years of age. In such cases, the Parent/legal guardian is the user and is responsible for any and all activities of his/her ward.
    3. The user/s represent that all the information and details submitted by them at the time of registration are accurate and truthful. VLL may in its sole discretion refuse the user access of the Portal or terminate his user ID if the information/details furnished by them are found to be false and are also entitled to initiate appropriate legal action against such user.
    1. All the Educators are required to get themselves registered on VLL by clicking on register as Educator, in order to enable VLL to list his name on its Portal.
    2. In case the Educator is not eligible to enter into legally binding contract under the Indian Contract Act, 1872 or is under the age of 18 must at all times register through his Parent or legal guardian who is at least 18 years of age and the Parent or legal guardian by submitting necessary details as requested by VLL, shall agree to be bound by the Terms of Use.
    3. All the Learners are required to get themselves registered on VLL by clicking on register as Learner, to access the live learning sessions by choosing the Educator of his liking.
    4. In case the Learner is not eligible to enter into legally binding contract under the Indian Contract Act, 1872 or is under the age of 18 must at all times register through his Parent or legal guardian who is at least 18 years of age and the Parent or legal guardian by submitting necessary details as requested by VLL, shall agree to be bound by the Terms of Use.
    5. VLL is not charging any fee for registration on its Portal from the user. However, the Educator is at liberty to charge registration fee from the Learners.
    1. By impliedly or expressly accepting this Terms of Use, User also accepts and agrees to be bound by VLL Rules and Policies as provided from time to time in the following hyperlinks:

    1. User/s will receive a password and account designation upon completing the VLL's registration process. User/s are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under their password or account.
    2. User/s agree to:
      (a) immediately notify VLL/Company of any unauthorized use of their password or account or any other breach of security, and
      (b) ensure that they log out from their account at the end of each session.
    3. User/s agree not to share his/her username and password information in combination to any other person.
    4. User/s agree VLL/Company cannot and will not be liable for any loss or damage arising from their failure to comply with this Section.
    5. User/s agree that if they provide any information that is untrue, inaccurate, not current or incomplete or VLL/Company has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, or not in accordance with the this Terms of Use, VLL/Company shall have the right to indefinitely suspend or terminate or block access of their account on the Portal and refuse to provide them with access to the Portal.
    6. User/s is not allowed to transfer or sell his/her VLL account and User ID to another party.
    1. The Learner/Parents shall make the Advance Payments of the Session/Sessions Fee of the Educator by way of Payment made by debit card/credit card/net banking/any other mode introduced by VLL in the future, through a secured Electronic Payment Gateway Facility directly to the Bank Account.
    2. The Learner agrees and undertakes not to make payments of the Session/Sessions, Fees of the Educator in any manner other than as prescribed on the Portal, without the prior consent of the Company. The same is restricted to all sessions held in this portal.
    3. The Learner/Parent acknowledges and accepts that he has specifically authorized the Company to collect, process, facilitate and remit payments by any of the prescribed methods of payments.
    4. The Learner agrees, understands and confirms that the Credit Card/Debit Card details provided by him for availing of services on our Portal will be correct and accurate and he shall not use the credit card/debit card which he is not lawfully authorised to use.
    5. VLL does not store any information related to the Learner’s Credit Card/Debit Card/Net Banking. In case of Educator, the bank details are stored by VLL for initiating payments for sessions conducted.
    6. In case we do not receive an authorization from the respective bank or the transaction gets interrupted due to any reason, the transaction will be treated as failed. In this case, if any amount has been deducted from the Learner account, the same will be credited back in the same mode from which the payment was made. VLL shall not be liable in any event, for any credit card fraud that occurs to the Learner.
    7. The VLL neither makes any representations nor makes any warranties regarding the amount of time needed to complete processing, including delays in the Banking system and nor shall the Company be liable for any actual or consequential damages arising from any claim of delay.
    8. The liability for use of a card fraudulently will be on the Learner/Parents and the onus to 'prove otherwise' shall be exclusively on him.
    9. In the event of detection of any fraudulent transaction, VLL shall have sole discretion to immediately delete/disable/block such user account(s) and dishonour all past and pending obligations without any liability. For the purpose of this clause, VLL shall owe no liability for any refunds.
    10. VLL reserve the right to initiate legal proceedings against such persons for fraudulent use of its Portal and any other unlawful acts or omissions in breach of these terms and conditions
    1. VLL has taken every care in the preparation of the content of this Portal. To the extent permitted by applicable law, VLL disclaim all warranties, express or implied, as to the accuracy of the information contained in any of the materials on this Portal. VLL shall not be liable to any person for any loss or damage which may arise from the use of any of the information contained in any of the materials on this Portal.
    1. VLL does not claim ownership rights in the Content of the User. User grants VLL a perpetual license solely to enable VLL to use any information or Content he supplies VLL with, so that VLL does not violate any rights user might have in that Content.
    2. User grants VLL a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable right to exercise the copyright, publicity, and database rights which he has in the Content, in any media now known or not currently known, with respect to his Content.
    3. User agrees to allow VLL to store or re-format his Content on Portal and display his Content on VLL in any way as VLL chooses.
    4. The Educator agrees and confirms that VLL shall have perpetual licence to record the Live Interactive Learning Session. The Educator agrees and confirms that VLL shall have royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce the recorded tutorial sessions in other works in any form, media or technology now known or hereafter developed for the full term of any copyright that may exist in such material. The recording of Session is at the sole discretion of VLL and the Educator shall not have any right to force VLL to record the session.
    1. VLL does not control the Content provided by users that is made available on Portal. You may find some Content to be offensive, harmful, inaccurate, or deceptive. There are also risks of dealing with underage persons or people acting under false pretence.
    2. Users shall be responsible for keeping backup versions of the information and data provided by them. Users hereby agree that they will not expect the Portal to restore or keep back up of their information and data and not hold the Portal or the Company accountable for any loss of data in any circumstances.
    3. VLL does not engage in unauthorized monitoring or collection of traffic data or information.
    4. In case any objectionable content is displayed on the Portal, users can immediately notify VLL to remove the same from the portal.
    1. Users are solely responsible for their conduct and activities on the Portal and any and all data, text, information, usernames, graphics, images, photographs, profiles, audio, video, items, and links that users submit, post, and display on VLL.
    2. Users agree and undertake not to host, display, upload, modify, publish, transmit, update or share any information or list any information or item that:
      1. belongs to another person and to which You do not have any right to;
      2. is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever; or unlawfully threatening or unlawfully harassing including but not limited to "indecent representation of women" within the meaning of the Indecent Representation of Women (Prohibition) Act, 1986;
      3. harm minors in any way;
      4. infringes any patent, trademark, copyright or other proprietary rights or third party’s trade secrets or rights of publicity or privacy or shall be fraudulent or involve the sale of counterfeit or stolen items;
      5. violates any law for the time being in force;
      6. deceives or misleads the addressee/ users about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
      7. impersonate another person or use an anonymous proxy;
      8. contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource; or contains any Trojan horses, worms, time bombs, cancelbots, Easter eggs or other computer programming routines that may damage, detrimentally interfere with, diminish value of, surreptitiously intercept or expropriate any system, data or personal information;
      9. threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation;
      10. is false, inaccurate or misleading;
      11. is prohibited or restricted in any manner under the provisions of any applicable law, rule, regulation or guideline for the time being in force;
      12. may give rise to liability on part of the Portal or the Company or cause any hindrance (in whole or in part) with respect to the services of Internet Service Provider of the Portal or the Company; and link directly or indirectly to or include descriptions of items that are; prohibited under the User Agreement or any other applicable law for the time being in force including but not limited to the Drugs and Cosmetics Act, 1940, the Drugs And Magic Remedies (Objectionable Advertisements) Act, 1954, the Indian Penal Code, 1860, Information Technology Act 2000 as amended time to time and rules there under.
    3. You shall not promote any Portal or webpage or link on the Portal, without due authorisations from VLL. You shall not attempt to gain unauthorized access to any portion or feature of the Portal, or any other systems or networks connected to the Portal or to any server, computer, network, or to any of the services offered on or through the Portal, by hacking, password “mining” or any other illegitimate means.
    4. It is possible that other user (including unauthorized users or “hackers”) may post or transmit offensive or obscene materials on the Portal and that you may be involuntarily exposed to such offensive and obscene materials. It also is possible for others to obtain personal information about you due to your use of the Portal, and that the recipient may use such information to harass or injure you. We do not approve of such unauthorized uses, but by using the Portal You acknowledge and agree that we are not responsible for the use of any personal information that you publicly disclose or share with others on the Portal. Please carefully select the type of information that you publicly disclose or share with others on the Portal.
    1. Unless otherwise indicated or anything contained to the contrary or any proprietary material owned by a third party and so expressly mentioned, Company owns all Intellectual Property Rights to and into the Portal, including without limitation, any and all rights, title and interest in and to copyright, related rights, patents, logos, trademarks, trade names, service marks, designs, know-how, trade secrets and inventions (whether patentable or not), goodwill, source code, meta tags, databases, software, photos, video, recorded session, graphics, music, sound, and text, contents, graphics, icons, and hyperlinks and the entire contents of VLL protected by copyright as a collective work under the applicable copyright laws. Users acknowledge and agree that they shall not use, modify, copy, reproduce or distribute any content from the VLL belonging to the Company/VLL without obtaining authorization from the Company/VLL.
    2. You shall be solely liable for any damage resulting from any infringement of copyrights, trademarks, proprietary rights or any other harm resulting from posting any material on VLL. By submitting material to any public area of the Portal, Users warrant that the owner of such material has expressly granted VLL the royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate and distribute such material (in whole or in part) worldwide and/or to incorporate it in other works in any form, media or technology now known or hereafter developed for the full term of any copyright that may exist in such material.
    3. You also permit any other end user to access, view, store or reproduce the material for that end user's personal use. You hereby grant VLL, the right to edit, copy, publish and distribute any material made available on the Portal by you.
    4. Notwithstanding the foregoing, it is expressly clarified that you will retain ownership and shall solely be responsible for any content that you provide or upload when using any Service, including any text, data, information, images, photographs, music, sound, video or any other material which you may upload, transmit or store when making use of our Services.
    5. VLL encourages its users or any person to bring to its notice any infringement of copyright, trademarks or other proprietary rights due to posting of any content, photograph, video or otherwise by writing to vcare@vlearnlive.com. VLL shall immediately take appropriate action after assessing the infringement in consultation with its legal team.
    1. The Company may suspend or terminate your use of the Portal or any Service if it believes, in its sole and absolute discretion that you have breached any of the Terms of Use.
    2. If you or the Company terminates your use of the Portal or any Service, the Company may delete any content or other materials relating to your use of the Service and the Company will have no liability to you or any third party for doing so.
    3. Without limiting any other remedies, VLL may, without notice, and without refunding any fees, delay or immediately remove Content, warn VLL's community of a user's actions, issue a warning to a user, temporarily suspend a user, temporarily or indefinitely suspend a user's account privileges, terminate a user's account, prohibit access to the Site, and take technical and legal steps to keep a user off the Site and refuse to provide services to a user if any of the following apply:
      1. VLL reasonably suspects that a user has breached this Terms of Use or other policy documents and guidelines incorporated herein;
      2. VLL is unable to verify or authenticate any of your personal information or Content;
      3. VLL believes that a user is acting inconsistently with the letter and spirit of VLL's policies, has engaged in improper or fraudulent activity in connection with VLL or the actions may cause legal liability or financial loss to VLL's users or to VLL.

    1. You agree and confirm that you are availing of the features and facilities at your own risk. The feature and facilities are provided on an "as is" and on an "as available" basis. We expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement
    2. We make no warranty that the features and facilities shall meet your requirements, that the features and facilities shall be uninterrupted and/or timely and/or secure and/or error free; nor do we make any warranty as to the results that may be obtained from the use of the features and facilities or as to the accuracy or reliability of any information obtained from the features and facilities.
    3. There are no representations and warranties, whether express or implied, made by us regarding the accuracy and/or quality of any information transmitted and/or obtained through the use of the features and facilities.
    4. All information that is provided to us and is uploaded on this Portal is accepted in good faith and we accept no responsibility whatsoever regarding the bona fides thereof.
    5. You shall ensure that while using the features and facilities, all prevailing and applicable laws, rules and regulations, shall at all times, be strictly complied with by you and we shall not be liable in any manner whatsoever for default of any nature regarding the same, by you.
    6. We do not warrant that this Portal or any of the Portals linked to the Portal be free of any operational hazards or errors nor that it will be free of any virus or/and worm or/and any other harmful components.
    1. Access to this Portal and the services, features and facilities provided for herein are available to use at the pleasure of VLL. You agree and acknowledge that you shall be solely responsible for your conduct and in the event of any action affecting the VLL/company or its users in any manner prejudicial to their interest, we reserve the right to terminate your right to access and avail of the features and facilities immediately, without prejudice to initiating proceedings under the relevant penal provisions under The Information Technology Act, 2000 or any other allied laws enacted by the Government of India or any other statutory, legislative or regulatory authority that may have jurisdiction or be authorized to do so in this regard from time to time.
    2. In no event shall VLL/company, and (as applicable) VLL/company's subsidiaries, officers, directors or employees shall be liable for any damages whatsoever, whether direct, indirect, general, special, compensatory, punitive, consequential, and/or incidental, arising out of or relating to the conduct of users or anyone else in connection with the use of the Portal, VLL's services, or this agreement, including without limitation, damages for loss of use, data or profits, arising out of or in any way connected with the access, use or performance of this Portal's services, features and facilities or for interrupted communications, delay, bodily injury, emotional distress, or any special, incidental or consequential damages.
    1. You agree to indemnify, defend and hold harmless VLL/Company from and against any and all losses, liabilities, claims, damages, costs and expenses (including legal fees and disbursements in connection therewith and interest chargeable thereon) asserted against or incurred by VLL/Company that arise out of, result from, or may be payable by virtue of, any breach or non-performance of any representation, warranty, covenant or agreement made or obligation to be performed by you pursuant to these Terms. You release and indemnify VLL/Company and/or any of its subsidiary, officers and representatives from any cost, damage, liability or other consequence of any of the actions of the Users of the Portal and specifically waive any claims that you may have in this behalf under any applicable law. Notwithstanding its reasonable efforts in that behalf, VLL/Company cannot take responsibility or control the information provided by other Users which is made available on the Portal. You may find other User's information to be offensive, harmful, inconsistent, inaccurate, or deceptive. Please use caution while using the Portal.
    1. VLL/Company does not guarantee continuous, uninterrupted access to the Site, and operation of the Site may be interfered with by numerous factors outside VLL's control.
    1. For the purposes of this Contract the term ‘Force Majeure’ as used in this Terms of Use shall mean occurrence in India of any or all of the events specified herein below, which prevent VLL from performing its obligations under this Terms of Use and which act or event is:-
      • (i) beyond the reasonable control and not arising out of the fault of VLL;
      • (ii) VLL has been unable to overcome such act or event by the exercise of due diligence and reasonable efforts, skill and care, including through expenditure of reasonable sums of money and
      • (iii) has a material adverse affect on the implementation of the terms of this Terms of Use.

        Force Majeure shall include, the following:
      • (a) war, hostilities or warlike operations (whether a state of war be declared or not), invasion, act of foreign enemy and civil war.
      • (b) rebellion, revolution, insurrection, mutiny, usurpation of civil or military government, conspiracy, riot, civil commotion and terrorist acts.
      • (c) earthquake, fire, flood or cyclone, or other natural or physical disaster.
      • (d) any change in law or statutory embargo imposed by the Government.
    2. If VLL is prevented, hindered or delayed from or in performing any of its obligations under the Terms of Use by an event of Force Majeure, then it shall notify the User of the occurrence of such event and the circumstances thereof.
    3. VLL shall be excused from the performance or punctual performance of its obligations under the Terms of Use for so long as the relevant event of Force Majeure continues and to the extent that VLL’s performance is prevented, hindered or delayed.
    4. In the event the VLL claims the occurrence of a Force Majeure event, it shall use its best efforts to mitigate and overcome the effects of any such Force Majeure event as soon as practicable after the occurrence thereof, and shall endeavour to develop and implement a remedial plan and reasonable alternative measures to remove the effects of the Force Majeure event.
    5. Further, VLL shall resume performance hereunder with the utmost dispatch when the Force Majeure event is removed.
    1. You shall at all times ensure full compliance with the applicable provisions of the Information Technology Act, 2000 and rules thereunder as applicable and as amended from time to time and also all applicable Domestic laws, rules and regulations, Statutes, Ordinances and Regulations, Income Tax, Octroi, GST, regarding Your use of Our service. You shall not engage in any transaction in an item or service, which is prohibited by the provisions of any applicable law including exchange control laws or regulation.
    2. The Educator shall deposit TDS in advance (if Sec 44AB of Income Tax Act is applicable) with the Authorities on the payment to be made to VLL. VLL shall reimburse the amount paid towards TDS after the Educator furnishes TDS Certificate to VLL.
    1. If any provision of the Terms is determined to be invalid or unenforceable in whole or in part, such invalidity or unenforceability shall attach only to such provision or part of such provision and the remaining part of such provision and all other provisions of these Terms shall continue to be in full force and effect.
    1. The headings and subheadings herein are included for convenience and identification only and are not intended to describe, interpret, define or limit the scope, extent or intent of the Terms or the right to use the Portal by users contained herein or any other section or pages of the Portal or any Linked Sites in any manner whatsoever.
    1. The Terms herein shall apply equally to both the singular and plural form of the terms defined. Whenever the context may require, any pronoun shall include the corresponding masculine and feminine. The words "include", "includes" and "including" shall be deemed to be followed by the phrase "without limitation". Unless the context otherwise requires, the terms "herein", "hereof", "hereto", "hereunder" and words of similar import refer to the Terms as a whole.
    1. Nothing in this Terms of Use/Agreement shall be deemed to constitute a partnership between the Parties or constitute any party the agent of any other party for any purpose or create employer-employee relation or entitle any party to commit or bind any other party in any manner or give rise to fiduciary duties by one party in favour of any other.
    1. VLL reserves the right to modify or terminate the VLL service for any reason, without notice, at any time. VLL reserves the right to alter these Terms of Use, Privacy Policy, Policy for Educator, Policy for Learner and other rules and regulations at any time. Users are therefore required to review the policies frequently. If VLL makes any material change, VLL will notify you here, by email or by means of a notice on our home page, or other places VLL deems appropriate. What constitutes a "material change" will be determined at VLL's sole discretion, in good faith, and using common sense and reasonable judgment.
    1. In case of any grievance, objection or complaint on your part with respect to the Portal, other Users, Payment Facility or the Company, including any complaints or enquiry about suspension, termination or blocking of your membership/registration or right to use the Portal, you should promptly raise such grievance or complaint with the under designated Grievance Officer and provide him with all necessary information and/or documents to enable the Company/ Grievance Officer to resolve the issue.
    2. The name and contact details of the Grievance Officer is published on the Portal as required under the provisions of the Information Technology Act, 2000 and the rules made thereunder.

    1. On registering on our Portal, you agree that we may use your registered mobile number on the Portal to send Transaction related SMS to you. You also grant us permission that we may send you any Transaction related SMS irrespective of having DND services activated on your mobile.
    1. The user hereby agrees and understands that the services provided by VLL also include such exclusive third party services. The user admits that the use of such third party services shall be the sole responsibility of the user and the user shall ensure that he/she maintains such telecommunications and internet services necessary for availing such services along with such required software and hardware devices, at the sole cost of the user. The user hereby agrees and acknowledges that VLL shall not be liable for any loss, data corruption, bad signals, communication difficulties or any other damage of loss of any kind arising out of the user availing such third party services.
    1. Those who choose to access the Portal from other locations/Countries except India do so on their own initiative and VLL/Company is not responsible for services/refund for the services registered from other locations/Countries except India, compliance with local laws, if and to the extent local laws are applicable. These Terms of Use, Privacy Policy, Policy for Learner, Policy for Educator and other incidental and ancillary terms and policies shall be governed by and constructed in accordance with the laws of India without reference to conflict of laws principles and disputes arising in relation hereto shall be subject to the exclusive jurisdiction of the courts at Delhi.
    2. The Users agree and confirms that the Courts of Delhi shall have exclusive jurisdiction as to interpretation or any dispute arising out of the Terms of Use, Services, Privacy Policy, Policy for Learner, Policy for Educator and other incidental and ancillary terms and policies
    1. This Terms of Use along with Privacy Policy, Educator Policy and Learner policy constitute the entire agreement between the Parties and supersedes any previous agreements between the Parties whether oral or in writing regarding the subject matter hereof.
    2. The user shall not be entitled to assign or transfer any of his rights or obligations under this Agreement except with the prior written consent of VLL.
    3. The failure on the part of VLL to exercise or enforce any rights resulting/emanating from this Agreement shall not be a waiver of any such rights, nor shall any single or partial exercise thereof operate so as to bar VLL exercise or enforcement thereof.
    1. When users visit VLL’s Portal or send email(s) to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by email or SMS. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy all legal requirements. It is therefore imperative for the users to keep updating VLL if there is any change in their Email address.
    2. Any notices/Communication shall be given by User’s registered email to VLL at vcare@vlearnlive.com or,
    3. In your case, to the email address you provide to VLL (either during the registration process or subsequently, when your email address changes).
    4. Notice shall be deemed to be served if the same is sent on the email provided by the user.
    5. By creating a Login on VLL, user agrees for receiving promotional & updated email from VLL.

Privacy Policy

This document is published as mandated under the provisions of the Information Technology Act, 2000 that requires ‘intermediaries’ to publish the roles and regulations, Privacy Policy and terms for access or usage of the website and pursuant to directives contained under Role 3 (1) of the Information Technology (Intermediaries guidelines) Roles, 2011 and Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Roles, 2011.

    1. VLL respects Privacy of any individual and ensures that the sensitive personal data and information of the users are not misused or is being used for any purpose contrary to the agreed terms.
    2. VLL has put in place adequate and effective checks to ensure the unauthorized monitoring or collection of traffic data or information does not take place and utmost care and precaution is taken in the matter of monitoring and collection of traffic data or information.
    3. VLL has put in internal checks to protect the security of the information/data stored on our Website. The information shared by the user is stored in secure server with encryption and can be accessed only for official purposes. Any of our employees who violate our Privacy and/or security policies related to customer’s data are subject to disciplinary action, including possible termination and civil and/or criminal prosecution.
    4. We have in place appropriate technical and security measures to prevent unauthorized or unlawfol access to or accidental loss of or destruction or damage to your information.       1. Use letters, numbers and symbols and it shoold be 6-15 characters long. Avoid using dictionary words, your name, e-mail address, or other personal information that can be easily obtained.
      2. Frequent change of your password also ensures better protection to your account.
      3. Avoid using the same password for moltiple online accounts.
      4. If you are logging in from a public computer or terminal, always log out when you complete an online session instead of closing the page.
    4. User/s agree to:
      • (a) immediately notify VLL/Company of any unauthorized use of their password or account or any other breach of security, and
      • (b) ensure that they logout from their account at the end of each session.
    5. User agrees not to share his/her username and password information in combination to any other person.
    6. User is not allowed to transfer or sell his/her VLL account and User ID to another party.
    7. Ensure your Personal Computer is protected:
      1. Fraudsters may send genuine-looking emails that contain viruses. These viruses install a malicious code on your Computer without your knowledge and extract your confidential information that you use to access your online profile/ account etc.;
      2. Tips to bear in mind:
        • • Keep your computer updated with latest anti-virus / anti-spyware software;
        • • Install a personal firewall on your computer to protect your account;
        • • Do not click on links or open attachments in unknown or unsolicited (spam) emails.
      3. VLL/Company cannot and will not be liable for any loss or damage arising from their failure to comply with this Section.

In case you do not want to share the information to public, you can choose the Privacy Settings mode, available in your Profile Section, where your information, shall not be made public.
        • (b) Apart from above, you also share with us bank account details, which we store for payment purposes and do not share the details with the third parties except with the Bank for KYC (Know Your Customer) purposes.
        • (c) In case the Educator is not eligible to enter into legally binding contract under the Indian Contract Act, 1872 or is under the age of 18, must at all times register through his/her Parent/Legal Guardian and in such cases we collect and store the information shared of Parent/Legal Guardian on our website or otherwise including but not limited to their name, age, gender, address, phone number, email ID and bank details (for payment).
        • (d) We may, as required or permitted by law or in the course of performing our regolatory responsibilities, provide personally identifiable information, such as your name and address, or any other information that you provide, without your permission to persons or organizations that request this information.
        • (a) In case you register as Learner with our website, we collect and store the information shared by you on our website or otherwise including but not limited to your Name, age, address, gender, email id, telephone number, mobile number, name of school/college, grade etc. We use the information that you provide for such purposes as responding to your requests, customizing future transaction for you, improving our website, and communicating with you. User needs to fill all the mandatory information for getting registered with us. VLL has the right to share limited details regarding the Educator and the Learner with each other as per the requirement.
        • (b) In case the Learner is not eligible to enter into legally binding contract under the Indian Contract Act, 1872 or is under the age of 18 must at all times register through his/her Parent/Legal Guardian by sharing their details and in such cases we collect and store the information shared of Parent/Legal Guardian on our website or otherwise including but not limited to their name, age, gender, address, phone number, email ID or other requisite information
        • (c) We may, as required or permitted by law or in the course of performing our regolatory responsibilities, provide personally identifiable information, such as your name and address, or any other information that you provide, without your permission to persons or organizations that request this information.
        • (d) We do not take Credit/Debit card or Net banking details on our website. On clicking the option Pay Now, you will be redirected to either Secure Payment Gateway or Bank’s Net Banking website for completing the transaction.         • Upon registering with VLL, we shall be entitled to use your registered mobile number on the Website to send transaction related SMS/Voice calls to you, irrespective of DND services being activated on your mobile. We may occasionally send promotional SMS/Voice Calls to your registered mobile number. User hereby authorizes us to send transactional SMS/Voice calls to his registered number, even if the number is registered for DND “Do not Disturb” service.
        • We may also receive relevant information from other sources and use such information for providing better customer experience.

Refund Policy

  1. VLL/Company follows a compact and comprehensive Refund Policy to make the user/s aware of their rights and liabilities. The Educator and Learner are bound by the Refund Policy of VLL. VLL shall have sole discretion to modify or amend the Refund Policy anytime.
  2. All Refunds are to be initiated by the Learner, using the Refund Request Option available in his login.
  3. The below are the scenarios under which Refund would be applicable to the Learner:-

  4. The Learner agrees and confirms that there would be NO REFUND, of the Registration Fee if any, charged by the Educator.
  5. Upon initiation of Refund Request by the Learner, the Refund Amount (subject to scenarios mentioned in Clause 3), shall be credited back to the same source (original method of payment) of Learner, within 15 working days from the date of Approval of Refund by VLL.
  6. In case the Learner does not get the refund amount in his account within 15 working days from the Approval of Refund by VLL, the Learner shall immediately inform VLL on vcare@vlearnlive.com
  7. For any concerns related to Refund, the Educator/Learner is requested to kindly get in touch at vcare@vlearnlive.com

Reschedule

  1. VLL/Company faciliates the flexibility of Rescheduling of a Session for the benefit of it's users. The Educator and Learner are bound by the Reschedule Policy of VLL and VLL shall have sole discretion to modify or amend the Reschedule Policy anytime.
  2. Rescheduling can only be initiated by the Educator, using the Reschedule Option available in his/her Dashboard. However a Learner can also get in touch with the Educator, for Rescheduling a Session.
  3. Reschedule Option can only be exercised before the Start of the Session.
  4. The Educator would have the option to Reschedule the session immediately or later, by selecting the Reschedule Option.
  5. Any Session cannot be Reschduled more than once.
  6. For any concerns related to Reschedule, the Educator/Learner are requested to kindly get in touch at vcare@vlearnlive.com

Policy for Educator

As an Educator, you understand and accept that upon registering on the Website and agreeing upon the terms of use, you are entering into a legally binding and enforceable contract with VLL. You agree and acknowledge that the VLL is only a facilitator, which provides you platform to impart knowledge to Learners, through Live Interactive Learning Session (“Session”) to the Learner subject to Terms of Use, Policy for Educator and Privacy Policy.

You may agree with the Learner on your Fee, time of session, or any extension/postponement of time of session provided that any such variation of the terms of the Transaction are not in violation of the Terms of Use/User Agreement and the roles and policies made there under.

In case the Educator is not eligible to enter into legally binding contract under the Indian Contract Act, 1872 or is under the age of 18 must at all times register through his parents or legal guardian, who is at least 18 years of age and the parent or legal guardian, by submitting necessary details as requested by VLL, shall agree to be bound by the Terms of Use. In that case the policy for Educator will also be applicable on the Parents/Legal guardian and the term Parent, shall be treated to be replaced by the Parent/Legal Guardian wherever applicable.

The Terms of Use shall be treated as part and parcel of present policy and vice-versa and shall be conjointly read.

    1. The terms of registration shall be applicable in toto as provided under the terms of use for registration with VLL.
    2. VLL does not charge any Fee for registration with it. However, the Educator is at liberty to charge Registration Fee from the Learner, in case the Learner is desirous of taking Live Learning sessions, from the Educator.
    3. The Educator can put registration terms for any Learner desirous of taking session from him, provided the terms are not contrary to the terms of use of VLL.
    1. The provision of Demo Class is the sole prerogative of respective Educator and it cannot be claimed as a right by the Learner.
    2. The Educator shall provide only One Demo Class to One particular Learner.
    1. VLL does not have any pre-defined course structure. The Educator can define his own course structure and post the same on VLL. In that case any Learner can opt for the course posted by the Educator.
    2. The Educator can also approach the Learner if the course structure/topic posted on the website by the Learner tally with his course structure or if he is desirous of providing session on the said course structure.
    1. VLL encourages the Educator to furnish his complete profile containing various details viz., the educational qualification, his experience etc. The Educator agrees and confirms that the details provided by him for his profile or otherwise shall be true and correct.
    2. The Educator agrees and confirms that VLL shall have perpetual licence to display/use his profile, demo video and other details in any manner VLL deems fit.
    3. The Educator shall have option to choose the mode of display of his certain fields of his profile using Privacy settings in his Profile Section viz., Public, Friends or Only Me.
    4. The Educator agrees and confirms that VLL is only a facilitator and VLL is not liable for any harm/loss caused due to false details in the profile, as posted by the Educator. The Educator agrees and confirms to indemnify VLL in accordance with the terms and conditions provided in the terms of use if any loss is caused to VLL due to any action/omission of the Educator.
    1. The Educator has option to impart knowledge to the Learner via One to One Session or a Group Session. The choice of session would depend upon the concurrence of the Educator and Learner.
    2. The Educator can also impart knowledge in Group session. The maximum strength of Group session shall decided by VLL at its sole discretion and VLL shall post the Maximum strength time to time on its Website.
    3. If the Educator due to any unforeseen circumstances or emergency is required to reschedule or postpone the session, the same is to be done with the consent of the Learner and in case of Group Session, the consent of at least one Learner is required for rescheduling. In case of any such rescheduling, the Educator shall post the agreed schedule on VLL using the Reschedule Option available to the Educator in his Dashboard. No change in schedule of session can be done unilaterally either by the Learner or the Educator.
    4. The Educator agrees and confirms that in case he cancels any session, the Learner shall be refunded foll amount of the cancelled session and the same would be displayed in his profile and which can be viewed by Learners.
    5. The quality and smooth functioning of sessions shall be dependent on the quality of internet connectivity. The Educator agrees and confirms that he will take a broadband connection having speed of not less than 2 Mbps. The Educator shall also require a desktop/laptop with camera and earphone with microphone, Digital Pen/Pen Tablet for smooth Live Session. The Educator shall be held responsible for slow streaming of the sessions if the he does not adhere to the prescribed speed for broadband connection and VLL shall be at liberty to take appropriate action against the Educator including but not limited to blocking his profile from the site and blocking his access to the Website.
    6. It is understood that both the Educator and the Learner shall maintain required decorum during the Live Session.
    7. If either the Educator or the Learner misdemeanour during the Live Learning session, VLL shall be at liberty to terminate their registration and block his access to the Website.
    8. The timings & duration of each session conducted on VLL, is to be maintained as per the Session Schedole posted by Educator and duly agreed by the Learner.
    9. An Educator is requested to join the session, atleast 5 minutes before the start of the session, using the Session Link sent to his registered Email ID or using the functionality available on his Dashboard. In case of any issues or concerns to access the Session, Educator can immediately get in touch with vcare@vlearnlive.com.
    10. The Session shall be credited and taken as complete provided the Educator has participated in at least 75% of the Time earmarked for the Session.
    11. Any issues related to the session has to be intimated at vcare@vlearnlive.com within 24 hours from the completion of the session.
    1. The Educator represents and confirms that he shall be solely liable for any damage resolting from any infringement of copyrights, trademarks, proprietary rights or any other harm resolting from posting any material on VLL.
    2. By submitting material to any public area of the Website, the Educator confirms and warrants that the owner of such material has expressly granted VLL the royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate and distribute such material (in whole or in part) worldwide and/or to incorporate it in other works in any form, media or technology now known or hereafter developed for the foll term of any copyright that may exist in such material.
    3. The Educator agrees and confirms that VLL shall have perpetual Licence to record the Live Interactive Learning Session, to be displayed on the Portal only. The Educator agrees and confirms that VLL shall have royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce the recorded tutorial sessions in other works in any form, media or technology now known or hereafter developed for the foll term of any copyright that may exist in such material. The recording of Session is at the sole discretion of VLL and the Educator does not have any right to force VLL to record the session.
    1. The fixation of Fee Structure of the session is the sole prerogative of the Educator.
    2. The Educator agrees and confirms that VLL shall be entitled to deduct @ 20% Convenience Charge, out of the Fee (includes registration Fee) payable to him. This Convenience Charge can be subjected to change by VLL and would be duly intimated to the Educator to his/her registered Email ID.
    3. The Educator also agrees and confirms that payment of applicable GST, existing at the time of transaction made by the Learner, shall stand deposited with VLL and shall be paid by it to the the Appropriate Authorities and the Educator shall not have any claim over the same.
    4. The Educator shall furnish complete bank account details in which he wants VLL to disburse the payment.
    5. The Educator agrees and confirms that he shall be entitled to disbursement of his Fee, after deducting the Convenience Charge, towards the attended sessions, fortnightly as per calendar month. If the Educator does not receive the payment within the prescribed time, he shall immediately inform VLL on vcare@vlearnlive.com.

    2. In case of any repugnancy, between the terms of use and present policy, the terms and conditions contained under the terms of use shall prevail.

Policy for Learner

As a Learner, you understand and accept that upon registering on the Website and agreeing upon the terms of use, you are entering into a legally binding and enforceable contract with VLL. You may agree with the Educator on his Fee, time of session, or any extension/postponement of time of Live Learning Session, provided that any such variation of the terms of the Transaction are not in violation of the Terms of Use/User Agreement and the roles and policies made there under.

    1. The terms of registration shall be applicable in toto as provided under the terms of use for registration with VLL.
    2. For registration with the desired educator, you will have to abide by his terms for Registration in conjunction with the terms of use of VLL
    3. VLL does not charge you any Fee for registration with it. However, if your desired Educator is charging a Registration Fee, for undertaking a session or sessions, then you will have to pay the same and the Registration Fee charged by the Educator, shall be NON-REFUNDABLE.
    4. If you find any terms of registration of Educator contrary to the Terms of Use of VLL, you can immediately bring the same to the notice of VLL by writing an Email to vcare@vlearnlive.com.
    1. The provision for free Demo Class is the sole prerogative of respective Educator and you cannot claim it as a right from the Educator. If a particular Educator is not providing Demo Class, it shall not be taken as contrary to terms of use or policy of VLL.
    2. The Learner can only take One Demo Class from One particular Educator.
    1. VLL does not have any pre-defined course structure.
    2. The Learner can post his desired Learning Need on the website and any interested Educator may approach the Learner, after noticing his post.
    3. The Learner can also approach the Educator if he finds that the Educator is offering live Learning sessions, on the same course structure/topic, which the Learner intends to undertake, on VLL.
    1. VLL displays profile of the Educator on its website. The profile contains various details viz., the Educational Qualification of the Educator, Experience, Feedback of Educator by Learner etc., if made available to VLL by Educator. The visibility of details in Educator profile would depend upon his choice made in his Privacy Settings. If the Educator has chosen Public mode, then entire details of his profile would be visible to all and in case of Private mode, the Learner cannot go through certain details of his Profile (Email ID, Contact Number, Work Experience etc.).
    2. Learner agrees and confirms that VLL is only a facilitator and it is not liable for any harm/loss caused due to false details in the profile as posted by the Educator.
    3. Learner agrees and confirms that he will select his desired Educator diligently using his own intelligence and understanding and VLL shall not be liable, if the selected Educator does not live up to his expectations.
    4. Learner agrees and confirms that he cannot unilaterally select the Educator and that the same is subject to confirmation from the Educator.
    5. The Learner can contact the Educator via Email / Mobile (if shared by the Educator) or by using website internal messaging system, to select the Educator suited to his need.
    1. The Learner has option to get Live Interactive Learning Session from the Educator via One on One Session or a Group Session. The choice of session would depend upon the concurrence of the Educator and Learner.
    2. The maximum strength of Group session, shall be decided by VLL, at its sole discretion and VLL shall post the Maximum strength time to time on its Website.
    3. The quality of Live Learning Sessions shall be dependent on the quality of internet connectivity. It is therefore imperative that the Learner takes a broadband connection having speed of not less than 2 Mbps. The Learner shall also require a Desktop/Laptop with camera and earphone with microphone, Pen Tablet/Digital Pen for smooth Live Session. VLL shall not be responsible for slow streaming of the Live learning sessions, if the Learner does not adhere to the prescribed speed for broadband connection and other requirements prescribed in this clause or recommended by VLL time to time.
    4. The Learner agrees and confirms that VLL shall not be responsible in case he could not get a smooth and quality session due to any negligence of the Educator.
    5. If the Learner is desirous of getting any session Reschedoled or Postponed, the same can only be done subject to agreement/consent of the Educator. No change in schedole of session can be done unilaterally either by the Learner or the Educator. Any change in schedole of session is to be intimated to VLL using the Reschedole Option available to the Learner, in his Dashboard. The prerogative to give a new time for the Reschedoled Session is solely, on the Educator and VLL has no say on the same.
    6. It is understood that both the Educator and the Learner shall maintain required decorum during the Live Session.
    7. If either the Educator or the Learner misdemeanour during the Live Tutorial Session, VLL shall be at liberty to terminate their registration and access to the website.
    8. The timings & duration of each session conducted on VLL, is as per the Session Schedole posted by Educator and duly agreed by the Learner.
    9. A Learner is requested to join the session at least 5 minutes, before the start of the session using the Session Link sent to his registered Email ID or using the functionality available on his Dashboard. In case of any issues or concerns to access the Session, Learner can immediately get in touch with vcare@vlearnlive.com.
    10. Any issues related to the session has to be intimated at vcare@vlearnlive.com within 24 hours from the completion of the session.
    1. The fixation of Fee Structure of the Learning Session is the sole prerogative of the Educator and different Educator may have different Fee Structure.
    2. The Learner also agrees and confirms to pay 5% (on the Basic Session Fee payable to the Educator as well as on the Registration Charge, if levied by the Educator) Convenience Charge to VLL. This Convenience Charge can be subjected to change by VLL and would be duly intimated to the Learner to his/her registered Email ID.
    3. The Learner also agrees and confirms to pay the applicable GST, existing at the time of transaction. The GST shall be payable on the Fee of the Live sessions.
    4. The payment by the Learner, would be made directly in the Company Bank account, using the Payment Gateway.
    5. The payment of the Fee is to be made upfront at least 24 hours before the start of the session (subject to availability of seats in the Session, which would be displayed against each Session), post which the Registration for the Session would be closed by VLL.
    6. The Learner also agrees that VLL may impose any new taxes, on its website services, which the concerned Tax Authority may impose time to time.
    1. VLL/Company follows a compact and comprehensive Refund Policy to make the user/s aware of their rights and liabilities. The Educator and Learner are bound by the Refund Policy of VLL. VLL shall have sole discretion to modify or amend the Refund Policy anytime.
    2. All Refunds are to be initiated by the Learner, using the Refund Request Option available in his login.
    3. The below are the scenarios under which Refund would be applicable to the Learner:-

    4. The Learner agrees and confirms that there would be NO REFUND, of the Registration Fee if any, charged by the Educator.
    5. Upon initiation of Refund Request by the Learner, the Refund Amount (subject to scenarios mentioned in Clause 3), shall be credited back to the same source (original method of payment) of Learner, within 15 working days from the date of Approval of Refund by VLL.
    6. In case the Learner does not get the refund amount in his account within 15 working days from the Approval of Refund by VLL, the Learner shall immediately inform VLL on vcare@vlearnlive.com
    7. For any concerns related to Refund, the Educator/Learner is requested to kindly get in touch at vcare@vlearnlive.com
    1. VLL/Company faciliates the flexibility of Rescheduling of a Session for the benefit of it's users. The Educator and Learner are bound by the Reschedule Policy of VLL and VLL shall have sole discretion to modify or amend the Reschedule Policy anytime.
    2. Rescheduling can only be initiated by the Educator, using the Reschedule Option available in his/her Dashboard. However a Learner can also get in touch with the Educator, for Rescheduling a Session.
    3. Reschedule Option can only be exercised before the Start of the Session.
    4. The Educator would have the option to Reschedule the session immediately or later, by selecting the Reschedule Option.
    5. Any Session cannot be Reschduled more than once.

    1. The present policy shall always be read conjointly with the terms of use and privacy policy.
    2. In case of any repugnancy, between the terms of use and present policy, the terms and conditions contained under the terms of use shall prevail
